Eastman completed its acquisition of Commonwealth Laminating & Coating on December 11, 2014, bringing the SunTek brand into its performance-films portfolio. The purchase also brought paint-protection technology, employees and established sales channels into Eastman’s Advanced Materials segment.

The sequence matters. Eastman announced a definitive agreement on March 13, 2014, subject to regulatory approval and other closing conditions. That first announcement was a proposed transaction; the December release confirmed completion.

The acquired operations included a manufacturing facility and master distribution center in Martinsville, Virginia, plus nine sales distribution centers serving international markets. Commonwealth had approximately $100 million in 2013 sales across its business. That figure was not disclosed as PPF-only revenue.

The March announcement did not disclose financial terms. Eastman’s subsequent quarterly filing, signed July 30, 2015, recorded a total cash purchase price of $438 million and confirmed the December 11 acquisition date.

For PPF history, the transaction illustrates how a branded film offering, manufacturing assets and a distribution network can change hands together. It helps explain SunTek’s place within Eastman without establishing that every film sold under a shared owner has the same construction or performance.

Anyone comparing products today should still use the documentation for the exact film, territory and warranty. This account describes a completed 2014 business transaction; it does not establish present-day product equivalence.

  • Commonwealth’s approximately $100 million sales figure covered its business, not a separately disclosed PPF segment.
